Welcome to Tha Marketplace. These Terms of Service (“Terms”) govern your access to and use of Tha Marketplace, including our website, marketplace, listings, accounts, features, and related services (collectively, the “Services”).
By creating an account, posting a listing, purchasing advertising or promotional services, contacting another user, or otherwise using Tha Marketplace, you agree to these Terms.
If you do not agree to these Terms, please do not use Tha Marketplace.
1. About Tha Marketplace
Tha Marketplace provides an online platform where individuals and businesses can advertise, discover, buy, sell, rent, exchange, and promote goods and services.
Unless expressly stated otherwise, Tha Marketplace is not the buyer or seller of items listed by users. Transactions involving user listings are generally made directly between buyers and sellers.
Tha Marketplace does not take ownership of user-listed merchandise and does not guarantee that a transaction between users will be completed.
2. Eligibility
You must be legally capable of entering into a binding agreement to use Tha Marketplace.
If you are under the age of majority where you live, you may use Tha Marketplace only with the involvement and permission of a parent or legal guardian where permitted by law.
Certain products, services, or transactions may have additional age or legal requirements.
3. User Accounts
An account may be required to post advertisements or access certain features.
When creating an account, you agree to provide accurate information and keep your account information reasonably current.
You are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account.
You may not impersonate another person or business, create accounts for fraudulent purposes, or use another person’s account without authorization.
Notify Tha Marketplace if you believe your account has been compromised.
4. Posting Advertisements
Sellers are responsible for the accuracy and legality of their listings.
When posting an advertisement, you agree that your listing will:
- Accurately describe the item or service being offered.
- Use photographs you have the right to use.
- Disclose significant defects or relevant conditions.
- Use an appropriate category.
- Provide accurate pricing and other material information.
- Comply with applicable laws and these Terms.
Tha Marketplace may review, reject, restrict, remove, or modify the presentation of listings that violate our policies or applicable law.
5. Listing Fees
Tha Marketplace may charge fees for posting listings.
Where displayed at checkout, a standard listing may currently require a $2 one-time listing fee.
The applicable price and terms presented to you at checkout control your purchase.
Paying a listing fee does not guarantee that an item will sell, receive a particular number of views, receive inquiries, or remain available if the listing violates these Terms.
6. Featured and Promoted Listings
Users may have the option to purchase additional advertising or promotional placement.
A Featured Ad may be offered for $15 for 30 days, subject to the price and duration displayed when the promotion is purchased.
Featured placement is intended to provide additional visibility but does not guarantee views, inquiries, offers, clicks, or a sale.
When a featured promotional period ends, the promotional benefits may end while the underlying regular listing remains active, subject to applicable listing policies.
7. Payments and Refunds
Users are responsible for reviewing all charges before completing payment.
Listing, promotion, advertising, and other platform fees are generally for digital services that may begin immediately after payment.
Except where required by law or expressly stated otherwise at checkout, fees may be non-refundable once the purchased service has been provided or activated.
Tha Marketplace may use third-party payment processors. Your use of those payment services may also be subject to the payment provider’s terms and privacy practices.
8. Buyer and Seller Transactions
Buyers and sellers are responsible for evaluating each other and the proposed transaction.
Tha Marketplace does not guarantee:
- The existence, authenticity, condition, safety, quality, or legality of an item.
- The accuracy of a user’s listing.
- That a buyer will pay.
- That a seller will deliver an item.
- That a transaction will be completed.
- The identity or intentions of another user.
Users should exercise appropriate caution when communicating, meeting, exchanging goods, shipping items, or making payments.
9. Prohibited Listings and Conduct
You may not use Tha Marketplace to advertise, sell, purchase, distribute, or facilitate anything prohibited by applicable law.
You also may not use the platform for fraud, scams, theft, deceptive practices, harassment, threats, spam, unauthorized commercial solicitation, intellectual-property infringement, or other unlawful activity.
Tha Marketplace may maintain additional prohibited-item and community policies. Those policies may be updated as the marketplace grows.
We reserve the right to remove content or restrict accounts when reasonably necessary to enforce these Terms, protect users, comply with legal obligations, or protect the platform.
10. Counterfeit and Stolen Property
Counterfeit merchandise and stolen property are prohibited.
Sellers are responsible for ensuring that they have the legal right to sell or transfer anything they list.
Tha Marketplace may remove listings suspected of involving counterfeit, stolen, fraudulent, or otherwise prohibited merchandise.
11. User Content
You retain ownership of content you submit, including photographs, descriptions, and other listing materials, subject to any rights belonging to others.
By posting content on Tha Marketplace, you grant Tha Marketplace a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, format, and distribute that content as reasonably necessary to operate, promote, and improve the marketplace.
This license ends when the content is deleted from our systems, except where retention is reasonably necessary for backups, legal compliance, fraud prevention, dispute resolution, or other legitimate purposes.
You represent that you have the necessary rights to content you upload.
12. Artificial Intelligence Features
Tha Marketplace may offer artificial-intelligence-assisted tools to help users create listings.
For example, AI may analyze an uploaded photograph and suggest an item title, category, description, keywords, condition, or estimated price range.
AI-generated information may be inaccurate.
The seller remains responsible for reviewing and correcting AI-generated information before publishing a listing.
AI suggestions are provided as assistance and should not be considered a guarantee of an item’s identity, authenticity, condition, value, market price, legality, or suitability.
13. Pricing Suggestions
Any price estimates, comparisons, recommendations, or suggested price ranges provided by Tha Marketplace or automated tools are informational only.
Actual market value can vary based on condition, location, demand, authenticity, availability, timing, and other factors.
Sellers determine their own prices, and buyers determine whether they are willing to purchase at those prices.
14. Communication Between Users
Tha Marketplace may provide tools that allow users to communicate.
Users may not use these features to send spam, threats, harassment, fraudulent messages, malicious links, or unlawful content.
Be cautious if another user asks you to move communication outside the platform, send verification codes, provide passwords, disclose financial information, or use an unusual payment method.
15. Local Transactions and Personal Safety
Users who arrange an in-person transaction are responsible for determining an appropriate meeting location and taking reasonable safety precautions.
Where practical, consider meeting in a public, well-lit location or a designated safe-exchange area.
Tha Marketplace is not responsible for interactions or events occurring during meetings independently arranged between users, except to the extent responsibility cannot legally be excluded.
16. Shipping
If buyers and sellers arrange shipping, they are responsible for agreeing on shipping costs, carriers, tracking, insurance, delivery requirements, and other relevant terms unless Tha Marketplace expressly provides those services.
Users should retain appropriate transaction and shipping documentation.
17. Banner Advertising
Businesses and individuals may be permitted to purchase banner advertising or other promotional placements.
Advertisements must comply with applicable law and Tha Marketplace policies.
Tha Marketplace may reject or remove advertisements containing misleading, unlawful, infringing, malicious, or inappropriate material.
Purchasing advertising does not guarantee a particular number of impressions, clicks, customers, leads, or sales unless a specific written advertising agreement expressly provides otherwise.
18. Intellectual Property
The Tha Marketplace name, branding, logos, website design, software, original graphics, and other platform materials may be protected by trademark, copyright, and other intellectual-property laws.
You may not copy, reproduce, distribute, modify, or commercially exploit protected Tha Marketplace materials without authorization, except as permitted by law.
19. Copyright Complaints
Tha Marketplace respects intellectual-property rights.
If you believe content posted on the platform infringes your copyright or other intellectual-property rights, you may contact us with sufficient information to identify the protected work, the allegedly infringing material, and your contact information.
We may request additional information necessary to evaluate the complaint.
20. Fraud and Abuse Prevention
Tha Marketplace may use automated and manual systems to identify suspicious activity.
We may restrict listings, transactions, communications, accounts, or access when reasonably necessary to investigate suspected fraud, protect users, comply with law, or protect the integrity of the marketplace.
Users may not attempt to bypass security systems, payment requirements, account restrictions, listing fees, or other platform protections.
21. Account Suspension and Termination
Tha Marketplace may suspend, restrict, or terminate an account that violates these Terms, creates legal or security risks, engages in fraudulent activity, abuses other users, or repeatedly violates marketplace policies.
Where appropriate, we may provide notice or an opportunity to correct a violation, although immediate action may be necessary in circumstances involving fraud, safety, security, or legal requirements.
22. Marketplace Availability
We work to keep Tha Marketplace available and functioning properly, but uninterrupted access cannot be guaranteed.
The platform may occasionally be unavailable because of maintenance, updates, technical problems, third-party outages, security issues, or circumstances outside our reasonable control.
Features may also be modified, added, or discontinued over time.
23. Third-Party Services
Tha Marketplace may contain links to or integrate with third-party websites, payment processors, mapping providers, shipping services, advertisers, or other services.
Those third parties operate independently and may have their own terms and privacy policies.
Tha Marketplace is not responsible for third-party services except to the extent required by applicable law.
24. Disclaimer of Warranties
To the extent permitted by applicable law, Tha Marketplace and its services are provided “as is” and “as available.”
We do not guarantee that every listing is accurate, every user is trustworthy, every product is authentic, every transaction will be successful, or every service will operate without interruption or error.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
25. Limitation of Liability
To the maximum extent permitted by applicable law, Tha Marketplace will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the platform or transactions between users.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
26. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Tha Marketplace and its owners, affiliates, officers, employees, and service providers from claims, damages, liabilities, and reasonable expenses arising from your unlawful use of the Services, your listings, your violation of these Terms, or your infringement of another person’s rights.
27. Privacy
Use of Tha Marketplace is also subject to our Privacy Policy.
The Privacy Policy explains how information may be collected, used, stored, and shared when you use the platform.
28. Changes to These Terms
Tha Marketplace may update these Terms as the platform, services, or legal requirements change.
When appropriate, we will update the Last Updated date and provide additional notice of material changes.
Continued use of Tha Marketplace after updated Terms become effective constitutes acceptance to the extent permitted by law.
29. Governing Law and Disputes
These Terms will be governed by applicable law, subject to any consumer-protection or other rights that cannot legally be waived.
Any specific governing-law, venue, arbitration, or dispute-resolution provisions should reflect the legal entity operating Tha Marketplace and the jurisdictions in which it operates.
Before publishing this section, Tha Marketplace should insert the legal business name, state of organization, and appropriate dispute-resolution provisions.

For legal notices, Tha Marketplace should also provide an appropriate business mailing address and legal contact email.
By creating an account or using Tha Marketplace, you acknowledge that you have read and agree to these Terms of Service.
